Spazio Investment N.V. is incorporated in The Netherlands and therefore the rights of holders of Spazio Investment N.V.'s Ordinary Shares are governed by Dutch law. These rights differ in material respects from the rights of shareholders in companies incorporated elsewhere, including the United Kingdom.
